By accessing or using LifeCompass.Pro, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use LifeCompass.Pro.
LifeCompass.Pro is a software product that is made available to customers through licenses issued by LifeCompass.Pro or through other forms of permission granted by LifeCompass.Pro. These licenses or permissions may be subject to additional terms and conditions that are agreed upon by the customer and LifeCompass.Pro.
You may not use LifeCompass.Pro in any manner that could damage, disable, overburden, or impair LifeCompass.Pro's servers or networks, or interfere with any other party's use and enjoyment of LifeCompass.Pro. You may not attempt to gain unauthorized access to any portion of LifeCompass.Pro, or any other systems or networks connected to LifeCompass.Pro.
LifeCompass.Pro and its related materials, including but not limited to software, documentation, and content, are owned by LifeCompass.Pro and protected by copyright laws and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on LifeCompass.Pro or any of its related materials, without LifeCompass.Pro's prior written consent.
LifeCompass.Pro is provided "as is" without warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LifeCompass.Pro makes no warranty that LifeCompass.Pro will meet your requirements or that the operation of LifeCompass.Pro will be uninterrupted or error-free.
In no event shall LifeCompass.Pro be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of LifeCompass.Pro, whether or not LifeCompass.Pro has been advised of the possibility of such damages. LifeCompass.Pro's total liability to you for any damages arising out of or in connection with your use of LifeCompass.Pro shall not exceed the amount you paid for the license to use LifeCompass.Pro.
You agree to indemnify, defend, and hold harmless LifeCompass.Pro, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your use of LifeCompass.Pro or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms or LifeCompass.Pro shall be filed only in the state or federal courts located in San Diego County, California, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
LifeCompass.Pro may update these Terms from time to time, and your continued use of LifeCompass.Pro after any such updates constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.
These Terms constitute the entire agreement between you and LifeCompass.Pro regarding your use of LifeCompass.Pro and supersede all prior agreements between you and LifeCompass.Pro. Any additional or different terms or conditions in any other document, including any purchase order or other ordering document, shall be of no effect.
LifeCompass.Pro may terminate your license to use LifeCompass.Pro at any time for any reason, including without limitation, if you breach these Terms or if LifeCompass.Pro discontinues the product or service. Upon termination, you must immediately cease using LifeCompass.Pro and destroy all copies of LifeCompass.Pro in your possession.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The failure of LifeCompass.Pro to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
